You must read these terms and conditions before accessing the service because you will be deemed to have accepted them and to be bound by them when you use the service.

These Terms and Conditions apply if you wish to become a registered member of WiseMoney.com (a "Member"), whether or not you wish to be issued with Free Share options in WiseMoney.com Ltd. 1. WiseMoney.com Ltd. ("we" or "us") is a limited company registered in England and Wales and can be contacted by mail at 24 Charlton Drive, Cheltenham GL53 8ES, UK. Email: shareholders@wisemoney.com 2. The Member ("you") is the person whose details are set out and sent to us in the Registration Form. 3. To participate in any of these offers the registered member's personal details must be updated whenever there is a relevant change in any of those details. 4. WiseMoney.com Limited is a Private Limited Company. However it is our intention to seek a listing on a public Exchange and we are currently looking at the available options. A Public Limited Company is a requirement for listing and the offer of free share options is based on that future undertaking with no guarantee that there will be a listing. At the discretion of WiseMoney.com if there has not been a listing by 31 December 2002 the free share option scheme may be terminated and existing options cancelled. 5. The share allocation will only become valid when WiseMoney.com gains a stock exchange listing. The issued shares will be ordinary shares with a par value of 1p each or the equivalent in a foreign currency. 6. There is no guarantee that WiseMoney.com will gain a stock exchange listing. In the event that there is a sale of the controlling interest in WiseMoney.com then the new owner will pay to the registered members a payment no lower than 0.01p or currency equivalent per share option allocated. 7. Any person seeking to benefit from any of these offers must be able to provide WiseMoney.com with adequate proof of identity to meet company registration requirements. 8. In the environment of the Internet- over which we have no control, WiseMoney.com will use all reasonable resources to ensure that we will provide to you prompt and accurate services. 9. If you apply to be a registered member and WiseMoney.com does not accept your registration, we will not use the information that you provided for any other purpose. 10. The information that is provided on the Registration form must be full and accurate. If you supply us with false or inaccurate information Wisemoney.com will be entitled to terminate provision of our services and annul the allocation of free shares. Equally, if a change to the information makes the continuation as a member unacceptable to us- and we will act reasonably in making this decision- WiseMoney.com will be entitled to terminate the provision of our services to you. 11. It is WiseMoney.com's policy never to allow our registered user's details to be used by unconnected parties. We will treat all of your personally identifiable information as private and confidential, except in three exceptional circumstances: where we are legally compelled to do so or where there is a duty to the public or where disclosure is made at your request or with your consent when applying for a product. 12. You can unsubscribe and have any personal details deleted easily at any time in the future. 13. WiseMoney.com's services may be used for both personal and business use. 14. You must not use WiseMoney.com in any manner that may constitute a criminal offence or that may provide grounds for a civil court case against you, WiseMoney.com or any third party. You must not upload, transmit or download any message or material that Is defamatory, racist, sexist or ageist, threatening or menacing to any person or group of people, or contains obscene elements or which in the reasonable opinion of WiseMoney.com is likely to cause annoyance or distress to any person. 15. Unfortunately, under prevailing legislation in USA, Japan and Australia this free share option offer is not open to residents of those countries. However, if those residents do register and circumstances change to allow us to extend this offer to those residents then any people who have registered will be retrospectively allocated the same free share option offer terms. 16. Registration is completed when you have submitted a complete registration form and you receive a Membership number by email. 17. We do not accept any liability for your dealings or contracts via WiseMoney.com with suppliers of goods or services, or your customers, or any other third parties. 18. We do not accept any liability for any acts or omissions resulting from your decisions or opinions formed on the basis of your use of WiseMoney.com. 19. Neither of us shall be liable to the other for any delay or failure to comply with our obligations under these Terms and Conditions if the delay or failure arises from any cause which is beyond our reasonable control, including (without limitation) any act of God, or of government or regulatory authority, or other internet services provider, war, terrorism, or non-availability or malfunctioning of a telecommunications or broadcast or other network system or service. 20. We reserve the right to terminate the contract between us set out in these Terms and Conditions, and your use of WiseMoney.com at any time, by notice to you sent via WiseMoney.com, or via e-mail, or by letter to the address set out in your Member details. Termination will occur at the time you are deemed to receive our notice. If we notify you that WiseMoney.com is cancelling our services the notice shall be deemed to be received by you seven days following transmission. If we notify you by letter, we will use first class mail and our notice will be deemed received by you three days following mailing. You may terminate the contract between us in the same way. 21. We may terminate the contract between us: a) if you breach any of these Terms or Conditions; b) if you are made bankrupt or become insolvent, or have a court order made against you in respect of a debt or fine; or c) if you notify us of a change to the information you supply to us on the Registration Form which is unacceptable to us. 22. All copyrights and other intellectual property rights in the design and contents of WiseMoney.com's web site are reserved to WiseMoney.com and its licensors. You may use it only as WiseMoney.com expressly permits in these Terms and Conditions and in the specifications on this web site concerning correct use of each WiseMoney.com service. Any unauthorised copying of the design or contents, or other unauthorised use will infringe the rights of WiseMoney.com and its licensors under international treaty and English law. 23. From time to time WiseMoney.com may need to change the terms of its contracts with members and will let members know on the WiseMoney.com home page when this is to happen and what the changes to these Terms and Conditions will be. If you do not wish to continue as a members under any changed terms, then during a period of seven days following our recording of your first viewing of the Home Page that contains our notice of the change you can inform us that you wish to end your contract with us. If we receive no such notice from you, you will be deemed to accept the changed terms. 24. You allow us to use the information you provide to us on the Registration Form, together with other information for marketing and the other purposes listed on the Registration Form, then subject to these terms and conditions, and the terms of our current offers, you can apply to be issued with fully paid ordinary share options in WiseMoney.com. 25. We reserve the right to refuse to issue Free Share options to any person who either makes multiple applications to become a member or who gives false information on the Registration Form. 26. The beneficial owner of the Free Share options will be the person whose name appears on the Registration Form. You will not be issued with a share option certificate although pre floatation a record of your share option allocation is available from the shareoptionadministrator@wisemoney.com 27. The Free Share options are issued subject to the terms of the memorandum and articles of association of WiseMoney.com Ltd as amended from time to time. 28. Any decision we make as to your entitlement to Free Share options will be final and binding on you and we will not be obliged to enter into any correspondence with you regarding our decision. 29. There is no voting entitlement of the Free Share options until WiseMoney.com achieves it's floatation. 30. The number of Free Share options that is available is likely to vary from offer to offer and we reserve the right to stop issuing Free Shares. For the time being a maximum of five hundred million (500,000,000) ordinary shares of 1p each have been reserved for offers of Free Share options. 31. We may amend the terms on which we issue Free Share options from time to time but if we do so any amendments will only apply to offers of Free Share options made after the date of that amendment. 32. English law governs these Terms and Conditions relating to the issue of Free Share options and the English courts shall have exclusive jurisdiction over them. 33. You consent to WiseMoney.com's Terms and Conditions and their use of your personal data as detailed in their Legal Disclaimers page 34. Where a person is a non- eu resident and you enquire about a financial service you consent to your personal details being passed only to the directly relevant financial services company outside of the eu. 35. Terms and Conditions- All contract terms, including any guarantees or warranties, will be clearly displayed and a further clear indication given that we do not affect the customer' statutory rights. 36. Neither the retailer nor the customer should expect to rely on any verbal agreement. Both parties should require written confirmation before accepting any variation of the order or other term of the contract. 37. All Errors in any area of order processing, delivery or administration will be corrected within 30 days. 38. We have an effective complaints procedure. All complaints will be logged and an acknowledgement given to the customer within three working days. We will keep the customer informed of the progress of the investigation of the complaint. 39. In the event that the retailer and customer cannot agree on the resolution of a complaint, we will advise the customer of any trade complaints body, regulator or ombudsman who may be relevant. We will also advise the customer of the SafeBuy mediation procedure. 41. SafeBuy will act as mediators, at no charge to either party, in the event of a dispute as to compliance with the Code Of Practice which cannot be resolved in a timely manner. SafeBuy will only act where there is hardcopy documentation of all areas of the transaction. SafeBuy will be at liberty to provide copies to both parties of all documentation presented in connection with the dispute. SafeBuy/TrustUK is not entitled to impose a decision upon the parties but, as mediator, to attempt to facilitate a resolution of the dispute between the parties. If this is not achieved within what SafeBuy/TrustUK considers to be a reasonable time then SafeBuy will be entitled to withdraw from involvement as mediator. 42. In the event of our own complaints procedure and the SafeBuy mediation procedure being unsuccessful in resolving the complaint, we agree that the consumer has the right to arbitration under the EEJ-NET scheme of the Chartered Institute of Arbitrators and waives his/her right to decline arbitration under this scheme. EEJ-NET is an email arbitration scheme, at relatively low cost, the full details of which are at www.eej-net.org.uk. Details are also available by email from SafeBuy. The costs of the arbitration are borne by the consumer and the retailer. 43. None of the above processes affects the right of the consumer to take the matter to the Courts or any other complaints resolution body. 44. We take and maintain all practicable security procedures to prevent hacking or other external access, or any unauthorised internal access, to any data relating to customers or orders. If data is provided to any third parties necessary for the execution of the contract, we maintain our responsibility to ensure that the same standards are met by those third parties. 45. Methods of payment are as secure as is practicable- with Secure Socket Layer encryption wherever applicable. If a hyperlink is required to another site with further details of the level of security it will be prominently displayed. 46. We will never pass your personal details to unconnected third parties. 47. Unsolicited commercial emails will never be sent to individuals who have requested removal from the marketing database either directly to the retailer or through a emailing preference service. 48. We reserve the right to transfer any personal data to countries outside of the European Economic Area however you will be given the option to reject this before it occurs.
